Corporate Paralegal / Legal Secretary

We are seeking a highly organized and detail-oriented individual with expertise in contract management and legal administration to support a corporate legal team. The successful candidate will assist with the preparation, review, and management of contracts, corporate governance matters, and compliance documentation. You will play a critical role in ensuring that all contracts and legal documents meet company policies and regulatory requirements while supporting cross-functional teams.

Requirements

• Contract Management: Draft, review, and revise contracts, including NDAs, service agreements, vendor contracts, and other legal documents.
• Document Preparation: Prepare, organize, and maintain corporate governance documents such as board resolutions, meeting minutes, and corporate filings.
• Compliance Support: Assist with legal research and compliance monitoring related to contracts, corporate policies, and regulations.
• Contract Tracking: Monitor contract lifecycles, ensuring timely renewals, amendments, and compliance with key terms and deadlines.
• Corporate Governance: Support the maintenance of corporate records, filings, and compliance documentation in accordance with federal, state, and local regulations.
• Legal Research: Conduct legal research on a variety of issues, including contract terms, corporate governance, and regulatory matters.
• Communication: Liaise with internal departments, external legal counsel, and business partners to facilitate contract execution and resolve legal issues.
• Filing & Organization: Maintain and organize both physical and electronic legal files, ensuring easy retrieval of documents.
• Process Improvement: Help improve contract management systems and workflows to increase efficiency and ensure consistency across the organization.

Requirements

• Bachelor’s degree required . Certificate preferred.
• 5+ years of corporate legal experience, with a focus on contract management.
• Familiarity with corporate governance and compliance requirements.
• Proficiency with Microsoft Office Suite, Adobe, and contract lifecycle management tools (CLM software).
• Skills:
• Strong knowledge of contract law and corporate governance procedures.
• Excellent organizational skills and attention to detail.
• Ability to handle sensitive information with discretion and maintain confidentiality.
• Proficient in using legal and contract management software.
• Excellent communication skills, both written and verbal.
• Strong multitasking and time management abilities in a fast-paced environment.
